DISTANCE SALES CONTRACT

1.PARTIES

This Contract has been signed between the following parties within the framework of the following terms and conditions.

'BUYER'; (hereinafter referred to as "BUYER" in the contract)
"SELLER"; (hereinafter referred to as "SELLER" in the contract)

By accepting this contract, the PURCHASER agrees in advance that he / she will be under the obligation to pay the additional prices such as the contract subject price and shipping fee, tax, if any, if he\she approves the order being the subject of the contract and he\she has been informed about it.

SUBJECT

The subject of this Distance Sales Contract (hereninafter referred to as “Contract”) is sale and purchase, payment of sale price, implementation and delivery of service\services and product\products whose qualities and sales prices are specified in this Contract and in the internet site named www.mediabalans.com belonging to the Seller (hereinafter referred to as “Site”) by the Buyer by ordering these products and services on the electronic environment and and determining other rights and obligations of the Parties and settlement of the disputes arising from this Contract in accordance with Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts published in the Official Newspaper dated 27.11.2014.

GENERAL PROVISIONS

4.1 The BUYER accepts, declares and undertakes that he/she has read the preliminary information regarding the basic features of the product subject to the contract, the sales price and the form of payment and the delivery on the website of the SELLER and that he/she has given the necessary confirmation in the electronic environment. The Seller accepts, declares and undertakes that he/she has given the address, the basic features of the ordered products, the price including the taxes, the payment and delivery information to the Buyer correctly and completely before confirming Preliminary Information in electronic form and concluding the Distance sales contract.

4.2 Each contract subject product is delivered to the BUYER or person and / or organization at the address indicated by the BUYER in the preliminary information section depending on the distance of the BUYER’s address, provided that the period doesn’t exceed the 30-day legal period. If the product cannot be delivered to the BUYER within this period, the BUYER reserves the right to terminate the contract.

4.3. The SELLER shall submit the contract subject product in full, in accordance with the qualifications specified in the order and, if any, with the information and documents required by the wor, the legal regulations, the principles of business integrity and honesty. It accepts, declares and undertakes to perform, maintain and improve the quality of service, to show the necessary attention and care during the performance of the work, to act with caution and foresight.

4.4 The SELLER may supply different product of equal quality and price by informing the BUYER and obtaining explicit consent before the contractual performance obligation expires.

4.5. The Seller accepts, declares and undertakes that he/she will notify the consumer in writing within 3 days of the date when he/she becomes aware and return the total price to the BUYER within 14 days if the SELLER cannot fulfill its contractual obligations when the fulfillment of the ordered product or service becomes impossible.

4.5. The BUYER accepts, declares and undertakes that he/she will confirm this Contract electronically for the delivery of the contract subject product and the SELLER's obligation to deliver the contract subject product will be terminated if the price of the contract subject product is not paid and / or canceled in the bank records for any reason.

4.7. In the event that the price of the contract product is not paid to the SELLER through the relevant bank or financial institution as a result of unfair use of the Buyer’s credit card by the unauthorized persons after the delivery of the contractual product to the BUYER or the person and / or institution at the address indicated by the BUYER, the Buyer accepts, declares and undertakes that he will return the contract subject item it to the SELLER within 3 days provided that the delivery costs will be provided by the Seller.

4.8. The SELLER accepts, declares and undertakes that he/she will notify the BUYER if he/she cannot deliver the contract subject product within due time, due to unforeseen force majeure conditions occured beyond the control of the parties and preventing the parties from fulfilling their debts. The BUYER also has the right to request from the SELLER to cancel the order, to replace the contract subject product with the equivalent ones, if any, and / or to delay the delivery period until the obstacle disappears. In the event that the order is canceled by the BUYER, the amount of the product paid by the Buyer is reimbursed to him in cash and in lump sum within 14 days. In the payments made by the BUYER by credit card, the product amount is returned to the relevant bank within 14 days after the order is canceled by the BUYER. The BUYER undertakes, declares and agrees that he will not consider the Seller responsible for delays as it may take 2 to 3 weeks to reflect the amount returned to the credit card by the SELLER to the BUYER account by the bank and it completely depends on the bank transaction process.

4.9. The Seller is entitled to communicate with the Buyer and to send letter, e-mail, message, to make calls for communication, marketing, notification and other purposes through the address, e-mail address, fixed and mobile phone lines and other contact information specified by the Buyer on the site registration form or updated by him / her afterwards.

By accepting this agreement, the BUYER accepts and declares that the SELLER may be engaged in the above mentioned communication activities.

4.10. The BUYER will inspect the contract subject goods / service before accepting and will not accept the cruched, broken, defective goods or services or goods with torn packaging from the cargo company. The delivered goods / services will be deemed to be undamaged and intact. The Buyer bears responsibility for careful protection of goods / services after delivery. If the withdrawal right is used, the goods / services should not be used. The invoice must be returned together with products.

4:11. If the BUYER and the credit card holder used during the order are not the same person or if the security gap is detected in the credit card used in the order before delivery of products to the Buyer, the SELLER is entitled to require the Buyer to provide the identity and contact information of the credit card holder, the statement of the credit card used in the order from the previous month or to present the letter indicating that the credit card belongs to him. The order will be frozen until the BUYER provides the information / documents subject to the request, and if the mentioned requests are not met within 24 hours, the SELLER has the right to cancel the order.

4.12 The BUYER declares and undertakes that the personal and other information provided by him/her when signing up to the website of the SELLER is true and will immediately compensate in cash and in lump sum for any damages sustained by the Seller due to the fact that this information is contrary to the truth.

4:13. The BUYER accepts and undertakes to comply with the legal regulations and not to violate them while using the website of the SELLER. Otherwise, the BUYER will be entirely and exclusively responsible for all legal and penal liabilities.

4.14 The BUYER may not use the SELLER's website in any way to disrupt public order, to violate public morality, to disturb and harass others, to violate the material and moral rights of others. In addition, members cannot engage in activities that prevent or force others to use the services (spam, virus, trojan horse, etc.).

4:15. Links to other websites and / or other content owned and / or operated by other third parties may be given via the SELLER's website. These links have been put in order to provide ease of orientation to the BUYER and neither support any website or the person operating the site nor constitute a guarantee for the information contained in the linked website.

4.16. Any member violating one or more of the articles listed in this contract is criminally and legally responsible for this violation and will keep the SELLER free from the legal and criminal consequences of these violations. Also; due to this violation, the SELLER reserves the right to request compensation due to the violation of the membership agreement in case the event is brought to the legal field.

RIGHT TO WITHDRAW

The BUYER is entitled to withdraw from the contract within seven days following the conclusion of this contract without undertaking any legal and criminal liability and without any justification. The BUYER shall notify the SELLER about his/her wish to exercise his right to withdraw within the said period by filling out the sample withdrawal form attached to this contract or by any of the communication methods specified in this contract,. The SELLER will return the payments made to him/her to the BUYER within fourteen days following the receipt of the relevant notification. If no payment has been received from the SELLER within this period, the processes of the relevant bank will be applied regarding the refund made through the provision, credit card collection, EFT / transfer or any other payment method determined by the SELLER.

The BUYER is aware that the right to withdraw cannot be used in the service contracts already begun to be executed with its own consent before the end of the right to withdraw.

The BUYER agrees that the notification regarding the right to withdraw according to the Distance Contracts Regulation has been made as required.

6.COMPETENT COURT

In the applications of the BUYER regarding any complaints and objections and other disputes that may arise out of this contract, the Consumer Problems Arbitration Committees located in the jurisdiction of the BUYER and the SELLER are competent in the extent declared by the Ministry of Customs and Trade and the Consumer Courts located in the jurisdiction of the SELLER in the disputes exceeding this extent.

ENFORCEMENT

When the BUYER makes the payment for the order placed on the Site, he/she is deemed to have accepted all the terms of this contract. The SELLER is obliged to make the necessary software arrangements, prior to the realization of the order, to obtain confirmation that this contract has been read and accepted by the BUYER on the site.

CANCELLATION AND RETURNING CONDITIONS

GENERAL:

If you place an order electronically via the website you are using, you are deemed to have accepted the preliminary information form and distance sales contract offered to you.

2.Buyers are subject to the provisions of Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts (RG: 27.11.2014 / 29188) in relation to the sale and delivery of the product they purchase.

Cargo charges which are the product shipping costs will be paid by the buyers.
Each purchased product is delivered to the person and/or organization at the address indicated by the buyer, provided that it does not exceed the 30-day legal period. This process may be extended up to 3 months if the buyer has placed a special order and depending on the development phase.
The purchased product is delivered in full and in accordance with the qualifications specified in the order and with documents such as warranty certificate, user manual, if any.
In the event that it is impossible to sell the purchased product, the seller must notify the buyer in writing about this situation within 3 days. The total price will be reimbursed to the Buyer within 14 days.

IF THE AMOUNT OF THE PURCHASED PRODUCT ISN’T PAID:

If the Buyer doesn’t pay the price of the product purchased or cancels the payment in the bank records, the Seller's obligation to deliver the product is terminated.

IF THE PRODUCT CANNOT BE DELIVERED IN TIME FOR UNFORSEEN REASONS:

If force majeure circumstances not foreseen by the seller occur and the product cannot be delivered in time, the situation is notified to the Buyer. The buyer can request to cancel the order, replace the product with a similar one or postpone delivery until the obstacle disappears. In case of cancellation of the order by the buyer; If he has made the payment in cash, this fee shall be paid in cash within 14 days from the cancellation. If the buyer made the payment via a credit card and canceled the order, the product price will be reimbursed to the bank within 14 days from this cancellation, however the bank is likely to transfer it to the recipient's account within 2-3 weeks.

OBLIGATION OF THE BUYER TO CHECK THE PRODUCT:

RIGHT TO WITHDRAW:

The BUYER may use the right to withdraw from the contract by refusing the goods without undertaking any legal and criminal responsibility and without giving any reason, within 14 (fourteen) days from the date of delivery of the purchased product to him or the person / organization at the indicated address.

DURATION OF THE RIGHT TO WITHDRAW:

If the buyer purchase a service, this 14-day period starts from the date when the contract is signed. The right to withdraw cannot be used in the service contracts already begun to be executed with its own consent before the end of the right to withdraw.
The costs arising from the use of the right of withdrawal shall be met by the SELLER.
In order to use the right to withdraw, it is necessary to make a written notification to the SELLER by registered mail, fax or e-mail within 14 (fourteen) days and the product must not be used in accordance with the provisions of the "Products in regard to which right to withdraw cannot be used".

USE OF RIGHT TO WITHDRAW:

the invoice of the product delivered to the person or the BUYER (If the invoice of the product to be returned is corporative, it must be sent together with the return invoice issued by the institution when returning. Order returns whose invoices are issued on behalf of the institutions cannot be completed unless the REFUND INVOICE is issued.)
Return form must be delivered complete and undamaged together with the to be returned product’s box, packaging, standard accessories, if any.

RETURN CONDITIONS:

The SELLER is obliged to return to the BUYER the total price and the documents binding the BUYER within 10 days from the receipt of the withdrawal notification and to accept the returned goods within 20 days.
If the campaign limit amount regulated by the SELLER falls below the limit due to the exercise of the right to withdraw, the amount of discount used within the scope of the campaign is canceled.

DEFAULT AND LEGAL CONSEQUENCES

BUYER accepts, declares and undertakes that he / she will pay interest and be liable to the bank within the framework of the credit card agreement between the bank and the bank, if the payment is made by default with the credit card. In this case, the bank may take legal actions; The buyer may claim the costs and the attorney's fee from the BUYER and the Buyer agrees to compensate the Seller for the losses due to the delayed performance of the debt in all cases of default due to the Buyer’s debt,.
